Welcome to TandaSpace. These Terms and Conditions (the "Terms") form a binding legal agreement between you ("you", "your", or "Member") and Openoffice Technologies, Inc., a Delaware corporation with its principal place of business in Frisco, Denton County, Texas ("TandaSpace", "we", "our", or "us"). By accessing or using the TandaSpace website, mobile experience, APIs, or any related services (collectively, the "Platform"), you agree to be bound by these Terms.
1. What TandaSpace Is
TandaSpace is a digital coordination platform for Rotating Savings and Credit Associations ("ROSCAs") — community-led savings circles known around the world as Tanda, Susu, Sou-Sou, Pardna, Chama, Hui, Kye, Ayuuto, Committee, and Rounds, among other names. The Platform helps groups of individuals ("Circles") organize periodic contributions and rotating payouts, coordinate members, track escrow activity, communicate in-app, and maintain a transparent history of contributions and distributions.
TandaSpace is not a bank, broker-dealer, money transmitter, money services business, credit union, lender, investment adviser, or insurance company. The Platform is a coordination and record-keeping tool. Circles are private arrangements between their members. TandaSpace does not take custody of member funds except as expressly described in any escrow, guarantor pool, or payment-processor documentation made available on the Platform, and any such custody is provided through licensed third-party financial institutions or payment processors.
2. Eligibility
To use the Platform you must (a) be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater), (b) have the legal capacity to enter into a binding contract, (c) not be barred from using the Platform under the laws of the United States or any other applicable jurisdiction, and (d) provide accurate registration information and keep it current.
3. Accounts, Identity, and Screen Names
You are responsible for safeguarding your credentials and for all activity that occurs under your account. You must promptly notify us at support@tanda.com if you suspect unauthorized access. TandaSpace supports pseudonymous "screen names" for Circles composed of members outside your immediate trusted network. Even where a screen name is displayed publicly, you remain fully responsible for your conduct and must provide truthful identity, contact, and, where required, tax information to TandaSpace.
4. Circles, Contributions, and Payouts
4.1 Nature of Circles
Each Circle is a private, member-directed arrangement. The Circle's organizer selects the contribution amount, cadence (weekly, bi-weekly, or monthly), payout strategy (random/lottery, bidded/auction, or fixed/negotiated order), and any additional rules. By joining a Circle you agree to abide by its published rules and to make timely contributions for the full duration of the cycle.
4.2 No Guarantee of Return
Contributions to a Circle are not deposits, not insured by the FDIC, NCUA, SIPC, or any government agency, and are not held by TandaSpace as principal. TandaSpace does not guarantee that any Member will receive a payout, that funds will be recovered in the event of a Member default, or that a Circle will complete its full cycle.
4.3 Escrow and Guarantor Pool
Where enabled, first-cycle escrow and the community Guarantor Pool are risk-mitigation features intended to reduce the impact of missed contributions. They are not insurance products, do not create a fiduciary relationship between TandaSpace and any Member, and are governed by any supplemental terms displayed at the time you enable them. Coverage projections are estimates only and are not a promise of future performance.
4.4 No Interest, No Investment Product
TandaSpace does not pay interest on Circle balances and does not offer any security, investment contract, or yield-bearing product. Any "discount" bid in an auction-style Circle is a private allocation mechanism among Members and is not compensation paid by TandaSpace.
4.5 Two-Circle Limit
For risk-management purposes, a Member may not participate in more than two (2) active Circles at any given time. We may modify this limit in our reasonable discretion.
4.6 No Departure from Active Circles
Once a Circle is funded and distributions have begun, no Member may unilaterally exit the Circle. Early departure remedies, if any, are governed by the Circle's rules and applicable law.
5. Payments and Third-Party Processors
Money movement, when available, is facilitated by licensed third-party payment processors and banking partners. Your use of those services is subject to their own terms, and you authorize TandaSpace to share the information reasonably necessary to enable those services. TandaSpace is not responsible for the acts, omissions, fees, or availability of any third-party processor.
6. Fees
TandaSpace may charge platform, guarantor-pool, or payment-processing fees, which will be disclosed in-Product before you incur them. Fees are non-refundable except as required by law or expressly stated at the point of collection.
7. Member Conduct
You agree not to:
- use the Platform for money laundering, terrorist financing, fraud, tax evasion, or any unlawful purpose;
- impersonate another person or misrepresent your affiliation with any person or entity;
- harass, threaten, defame, or discriminate against any Member, including through in-Circle chat or Circle Stories;
- upload content that infringes intellectual-property rights, contains malware, or violates any person's privacy;
- reverse engineer, scrape, or interfere with the Platform's infrastructure or security;
- circumvent risk-management controls, including the two-Circle limit or escrow requirements.
8. User Content and Circle Stories
You retain ownership of the content you post (messages, photos, stories, comments). By posting content you grant TandaSpace a worldwide, non-exclusive, royalty-free, sublicensable license to host, reproduce, display, adapt, and distribute that content for the purpose of operating and promoting the Platform, including featuring opt-in Circle Stories on marketing surfaces. You represent that you have all rights necessary to grant this license.
9. Intellectual Property
The Platform, including its software, design, branding (including "TandaSpace"), and content we create, is owned by Openoffice Technologies, Inc. or its licensors and is protected by intellectual property laws. Except for the limited right to use the Platform in accordance with these Terms, no license is granted to you.
10. Third-Party Services
The Platform integrates with third-party services (for example, authentication providers, mapping and geolocation, analytics, and payment processors). Your use of those services is subject to their own terms and privacy notices, and TandaSpace does not control and is not responsible for them.
11. Suspension and Termination
We may suspend or terminate your access to the Platform, or a specific Circle, at any time if we reasonably believe you have violated these Terms, created risk for other Members, or if required by law. Termination does not release you from obligations owed to other Members in an ongoing Circle.
12. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TANDASPACE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CIRCLE WILL ACHIEVE ITS OBJECTIVES.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TANDASPACE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF FEES YOU PAID TO TANDASPACE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) USD $100.
14. Indemnification
You will indemnify and hold harmless Openoffice Technologies, Inc. and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any law or third-party right.
15. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Platform will be resolved by binding arbitration administered by JAMS in Denton County, Texas, under its Comprehensive Arbitration Rules, except that either party may bring an individual action in small-claims court or seek injunctive relief in a court of competent jurisdiction to protect intellectual-property rights. You and TandaSpace waive any right to a jury trial and to participate in a class action.
16. Changes to the Terms
We may update these Terms from time to time. Material changes will be announced in-Product or by email. Your continued use of the Platform after the effective date of an update constitutes acceptance of the revised Terms.
